1. Who we are
This website (veryretail.ro) is operated by the joint venture between ARINU IMPEX SRL and ASPIRE BUSINESS CONSULTING SRL (CUI RO17835618, Trade Register no. J40/13456/2005), described above. Details of ARINU IMPEX SRL:
- Name: ARINU IMPEX SRL
- Tax ID (CUI): 5708580
- Trade Register No.: J1994000413072
- EUID: ROONRC.J1994000413072
- Date of incorporation: 11.05.1994
- Email: info@veryretail.ro · Phone: +40 755 907 206
- Contact person: Bogdan Lungu
Hereinafter “very.”, “we” or “the Operator”. This information is provided in accordance with Law no. 365/2002 on electronic commerce (art. 5).
2. Purpose of the website
veryretail.ro is the presentation and product catalogue website for the private-label brand “very.” and for the other products in the catalogue. Through the website:
- orders by the case can be placed, both by companies (on a CUI) and by private individuals (“order for home”), under the conditions in section 5;
- business partners (shops, distributors, business customers) can send us a partnership request;
- manufacturers can ask us for commercial representation.
The website does not process online payments. Commercial terms for partners (shops and distributors) are set individually, by offer.
3. Use of the website
You may freely browse the content and download the catalogues in PDF format, for information purposes and for assessing a possible collaboration. You undertake not to use the website for unlawful purposes, not to attempt unauthorised access to our systems and not to reproduce the content for commercial purposes without our written consent.
4. The partnership and representation forms
The website provides a form through which you can send us a partnership request (the Partners page) and a form through which, as a manufacturer, you can ask us for commercial representation (the Manufacturers page). The data you enter are processed in accordance with the Privacy Policy. Submitting a request does not, in itself, create any contractual obligation; any collaboration, including commercial representation, is agreed subsequently, in writing, with one of the companies of the joint venture.
5. Orders
This section applies to all orders placed through the Order page. Orders placed by private individuals are also subject to the conditions on the Delivery and Returns page, which form part of these terms.
5.1. Who can order
Orders can be placed by companies (legal entities and other professionals), on the basis of a valid CUI, and by private individuals buying for their own use, as consumers. The buyer type is chosen in the order form and determines how prices are shown and which rights apply.
5.2. How an order is placed
The ordering unit is the case, not the piece — at least one case per product. The products you choose are added to an order list (basket) kept in your browser; on the Order page you check the products and quantities, fill in the required details (company name and CUI, or your name; contact person; email; phone; delivery address) and send the order. Private individuals confirm, before sending, that they have read the delivery and returns terms.
After sending, you automatically receive an email restating the products and quantities. That email confirms receipt of the order, not its acceptance.
5.3. Conclusion of the contract
Sending an order costs nothing and is not a payment, but a request. We come back, as a rule within 1–2 working days, with the order confirmation (private individuals) or the offer (companies), setting out the products, quantities, pieces per case, final price, delivery time and the company of the joint venture that is the seller. The contract is concluded when you accept our confirmation or offer. Until then nothing is invoiced and you may drop the order without any consequence. If we cannot fulfil an order (for example, because an item is out of stock), we will let you know and the order has no effect.
5.4. Prices
- Prices published on the website are list prices, per case. Companies see prices net of VAT, with VAT added on the invoice; private individuals see prices including VAT.
- The delivery cost (and, where there is one, the free-delivery threshold) is shown in the basket before the order is sent.
- Where a product does not yet have a published price, it is marked “Price on request”: the order shows no total, and the price is given in the confirmation or offer.
- Shops and distributors buy at a partner price, lower than the list price, set individually and given in the offer; it is not published on the website.
- The total shown on the page is for information: when the order is sent we recompute it from the price list in force, and the price that binds you is the one in the confirmation or offer you accept.
5.5. Delivery
Orders are delivered only to the address given in the order; there is no collection from the warehouse, which is why a delivery address is required for both buyer types. The delivery time is given in the confirmation or offer. For private individuals, the delivery terms on the Delivery and Returns page also apply.
5.6. Payment
Payment is made by bank transfer only, to the account shown on the invoice, after you accept the confirmation or offer. The website does not process online payments and does not collect card details. The payment term is communicated with the order confirmation or the offer and appears on the invoice, before any amount becomes due. Nothing is invoiced before you confirm. The seller — ARINU IMPEX SRL or ASPIRE BUSINESS CONSULTING SRL, depending on the contract — is named in the confirmation or offer, before you accept it.
5.7. Right of withdrawal and company orders
Private individuals have the right to withdraw from the contract within 14 days, without giving any reason, subject to the exceptions provided by law. The full conditions, the exceptions and the withdrawal form are on the Delivery and Returns page.
Company orders are contracts between professionals and do not carry the right of withdrawal provided by GEO no. 34/2014. Any non-conformity on delivery (missing, damaged or wrongly delivered products) is to be reported in writing to info@veryretail.ro, and the remedy is agreed with the seller. Terms agreed in writing by offer or contract (partner price, payment terms, volumes) prevail over this section.
6. Intellectual property
The “very.” brand, the logos, texts, product images, catalogues and design elements of the website belong to ARINU IMPEX SRL or are used on the basis of legal rights, and are protected by intellectual property legislation. They may not be copied, distributed or used commercially without our prior written consent.
7. Accuracy of information
We make every effort to ensure that product information is correct and up to date. It is provided for information purposes and may be changed without notice. Specifications, packaging, pieces per case and availability are confirmed in the order confirmation or offer, or when the collaboration is agreed.
8. Limitation of liability
The website is provided “as is”. To the extent permitted by law, we are not liable for any interruptions in operation, content errors or damage resulting from use of the website. The website may contain links to third parties, for whose content we are not responsible. This limitation does not affect the rights that the law grants consumers and that cannot be excluded by contract.
9. Governing law
These terms are governed by Romanian law. Any disputes shall be settled by the competent courts at the Operator’s registered office, to the extent that the law does not provide otherwise. Consumers keep the protection of mandatory legal provisions, including the right to bring proceedings before the court of their domicile, and may use the dispute resolution routes listed on the Delivery and Returns page.
10. Changes
We may update these terms at any time. The applicable version is the one published on the website on the date of access; an order is governed by the version in force on the date it is sent.
